1. Who this agreement is between

These Terms form a binding agreement between Myzow Solutions LLP (LLPIN AAF-3140 ), registered at 501/A, B Wing, 6th Floor, Supreme Business Park, Hiranandani Gardens, Powai, Mumbai, Maharashtra 400076, India (“we”, “us”), and the business that creates a ValetSys workspace (“you”, “Customer”).

By creating a workspace you confirm you are authorised to bind that business. ValetSys is sold to businesses only; it is not offered to consumers.

2. The service

ValetSys is a pay-per-use service with two modules, enabled per property:

  • Valet Parking — vehicle check-in, digital guest tickets, retrieval requests, and verified handover.
  • AI Gate Register — number-plate capture and a visiting-vehicle log.

We may improve, change or discontinue features. Where a change removes material functionality you rely on, we will give at least 30 days' notice and you may terminate without penalty and receive a refund of unused paid credit.

3. Free credit to start

New workspaces receive ₹1,000 of credit at no charge and without a payment method - full access, every feature, until the credit is used. There is no time limit on it.

Nothing converts to a paid arrangement automatically and no charge arises from the free credit alone. When it runs out you may add credit, or leave: a workspace with no activity for 90 days becomes read-only and is deleted after a further 30 days, with notice. Export your data before then.

4. Accounts and staff access

  • You are responsible for everything done under your workspace, including by your staff.
  • Credentials are personal. Staff must not share logins; issue each person their own.
  • Remove access promptly when someone leaves. You can revoke a device from the dashboard.
  • Tell us immediately at support@valetsys.com if you suspect unauthorised access.

5. Fees, billing and taxes

  • You are charged per vehicle entry - one charge when a valet ticket is created and one when a gate entry is logged - at the per-entry rates shown in your dashboard. Retrievals, photographs, handovers, corrections and staff accounts carry no charge.
  • Charges are deducted from a prepaid credit balance that you top up from the dashboard. Recharge bonuses, where offered, are free credit and are neither refundable nor taxable. Paid credit does not expire.
  • Should the balance run out we do not interrupt service immediately: it may go negative up to a small limit shown in your dashboard, which you settle with your next top-up.
  • All fees are exclusive of GST and other applicable Indian taxes, which are charged additionally at the prevailing rate. Provide a valid GSTIN if you need input credit.
  • A GST tax invoice is issued for every top-up.
  • We may revise per-entry rates with at least 30 days' notice. Credit already purchased is consumed at the rates in force when each entry is made.
  • Paid credit and bonus credit share one balance, so a rule is needed for which a charge draws from: charges draw down paid credit first. What remains refundable is therefore your paid top-ups less everything you have consumed, never more than the balance left.
  • You may stop using the service at any time. There is no contract period and no cancellation penalty. Unused paid credit is refundable on request; bonus credit is not. The full terms, the calculation and the timelines are in our Cancellation & Refund Policy.

6. Your data stays yours

All data you or your guests put into ValetSys — tickets, vehicle records, photographs, staff records — remains yours. We claim no ownership.

We use it only to provide and support the service, and where it is fully aggregated and anonymised such that no person or business can be identified, to improve the service. You may export your data at any time while your workspace is active.

7. Data protection roles

For personal data about your guests, you are the Data Fiduciary and we are your Data Processor under the Digital Personal Data Protection Act, 2023. We process guest data only on your instructions, as described in our Privacy Policy, which forms part of these Terms.

We maintain reasonable security practices, restrict access, bind our sub-processors to equivalent obligations, and will assist you in responding to guest requests and in meeting your breach-notification duties. We will notify you of a personal data breach affecting your data without undue delay.

On termination we will delete or return your personal data, except where retention is required by law or by an active legal hold you have placed.

8. Your obligations towards guests

Because you are the Data Fiduciary, these are yours and not ours:

  • Give guests clear notice of what is collected and why, before collecting it, and obtain valid consent where the DPDP Act requires it.
  • Offer Anonymous Mode to any guest unwilling to share a mobile number, and do not refuse service on that basis.
  • Handle guest access, correction and erasure requests, using the tools we provide.
  • Display a privacy notice at your valet desk in a language your guests understand.

9. Photographic evidence and disputes

ValetSys records vehicle photographs at intake to help resolve damage claims. Understand what that does and does not mean:

  • Photographs are evidence, not proof. Their usefulness depends on your staff capturing them properly, in adequate light, at the angles the workflow prompts for.
  • Photographs are deleted when their retention period expires. If a dispute may arise, place a legal hold before then — once deleted, they cannot be recovered.
  • We do not adjudicate disputes between you and a guest, and we are not liable for the outcome of one. The custody of the vehicle is yours.

10. Acceptable use

You must not:

  • Use ValetSys for surveillance of individuals unconnected to your parking operation, or to build a profile of a person's movements.
  • Upload unlawful content, or content unrelated to vehicle custody.
  • Attempt to access another organisation's data, probe or circumvent access controls, or test the security of the service without our prior written consent.
  • Resell, sublicense or white-label the service without a written agreement.
  • Reverse-engineer the service, or use it to build a competing product.
  • Send unsolicited marketing to guests through the service. Ticket messages are transactional, and must remain so.

11. Availability and support

We aim for high availability but do not commit to a contractual uptime figure on standard plans. Planned maintenance is scheduled outside peak hospitality hours wherever practical.

Support is by email at support@valetsys.com. A written service level agreement is available on enterprise plans.

12. Third-party services

ValetSys depends on services we do not control — WhatsApp and SMS delivery, cloud hosting, and number-plate recognition. Message delivery in particular depends on the guest's network, their handset, and the messaging platform's own policies. We are not liable for failures caused by those services, though we will work to route around them.

Number-plate recognition is assistive. Readings must be confirmed by staff; we do not warrant their accuracy.

13. Intellectual property

The ValetSys software, interfaces, documentation, name and logo are ours and remain ours. We grant you a non-exclusive, non-transferable right to use the service while your workspace is active. Feedback you send us may be used without obligation, and confers no ownership in the service.

14. Warranties and disclaimers

We warrant that we will provide the service with reasonable skill and care. Beyond that, and to the extent Indian law permits, the service is provided “as is” without further warranty, including any implied warranty of merchantability or fitness for a particular purpose.

We are not a vehicle custodian. ValetSys records what your staff do; it does not park, move, guard or insure vehicles. Custody, and any bailee's liability arising from it, stays with you.

15. Limitation of liability

To the extent Indian law permits, our total aggregate liability under these Terms is limited to the fees you paid in the 12 months before the event giving rise to the claim.

Neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill, or business interruption. Specifically, we are not liable for vehicle damage, theft or loss, or for the outcome of any dispute with a guest.

Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything that cannot lawfully be limited.

16. Indemnity

You will indemnify us against claims arising from your use of the service in breach of these Terms, from your failure to meet your obligations as Data Fiduciary, or from content you or your staff upload.

17. Suspension and termination

  • You may terminate at any time from the dashboard or by writing to us.
  • We may suspend access immediately where use threatens the security or integrity of the service, or where required by law, and will tell you why.
  • We may terminate for material breach that is not remedied within 15 days of written notice, or for non-payment.
  • On termination we will make your data available for export for 30 days, then delete it.

18. Changes to these Terms

We may update these Terms and will post the revision here with a new effective date. Material changes take effect 30 days after we notify account holders. Continuing to use the service after that means you accept them; if you do not, you may terminate and receive a refund of unused paid credit.

19. Governing law and disputes

These Terms are governed by the laws of India. The courts at Mumbai have exclusive jurisdiction.

Before commencing proceedings, both parties will attempt in good faith to resolve the dispute by discussion between senior representatives for 30 days.
